DICA Reminds Companies About Notification on Their Registered Office Address

On 20 August 2025, the Directorate of Investment and Company Administration (the “DICA”) issued an announcement, reminding all companies that their registered office address must be an actual physical location, which all official communications and notices can be sent to, and requiring the companies to notify the DICA of any changes of their office address under Section 141 of the Myanmar Companies Law (the “MCL”).

For the purpose of verifying the address of a company and the residential address of the directors and shareholders of the company, the DICA has imposed the requirement in its announcement dated April 2025 that all newly incorporated companies must submit the recommendation of the relevant Township Administration Officer and Police Station and, in the case that the directors and/or shareholders are foreigners, Immigration Form C, when filing their first annual return on MyCo.

Section 141 of the MCL explicitly provides that notice on any changes of the registered of office address of a company must be given to the registrar before those changes are made. Therefore, the DICA also reminds companies that any non-compliance with Section 141 of the MCL will be subject to a fine of MMK 400,000, along with other possible administrative actions.

As such, we recommend companies to review their records and ensure proper registration and filing on MyCo in order to avoid unnecessary penalties.
